Preamble

 

This Combined Terms of Service and Privacy Policy (“Agreement”) constitutes a legally binding contract between RomoDoc™, LLC, a limited liability company duly organized and existing under the laws of the State of Florida, with its principal place of business at 5401 W Kennedy Blvd, Suite 100, Tampa, FL 33609 (“RomoDoc™,” “we,” “us,” or “our”), and you, the individual or entity accessing or utilizing the website located at romodoc.com (“Site”) or any telehealth-related services, tools, applications, products, or functionalities provided by RomoDoc™ (collectively, the “Services”). By accessing or using the Site or Services, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety, including all terms, conditions, and policies incorporated herein by reference. If you do not agree to be bound by this Agreement, you must immediately cease all use of the Site and Services.

 

RomoDoc™ operates a telehealth platform designed to facilitate connections between Users and independent healthcare providers (“Providers”) for the delivery of medical consultations, assessments, and treatments via telecommunication technologies. This Agreement governs your access to and use of the Site and Services, delineates your rights and obligations, and provides a detailed explanation of how RomoDoc™ collects, uses, discloses, and safeguards your information in compliance with applicable federal and state laws, including but not limited to the Health Insurance Portability and Accountability Act of 1996 (HIPAA).

 

1. Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below, unless the context clearly indicates otherwise:

  • “Account” refers to the user account created by you to access and utilize the Services.

  • “Agreement” refers to this Combined Terms of Service and Privacy Policy, as amended from time to time, including any schedules, exhibits, or policies incorporated herein.

  • “Content” encompasses all text, graphics, images, software, audio, video, data, and other materials available on the Site or through the Services.

2. User Agreement

  • Reside in a jurisdiction within the United States where the Services are legally available;

  • Provide accurate, complete, and current information during Account registration and throughout your use of the Services; and

  • Are not prohibited from using the Services under any applicable federal, state, or local law or regulation.

 

RomoDoc™ reserves the right to refuse service to any individual or entity at its sole discretion and without prior notice.

 

2.2 Account Responsibilities

 

You are solely responsible for:

  • Maintaining the confidentiality and security of your Account credentials, including your username and password;

  • All activities, transactions, and interactions conducted under your Account, whether authorized by you or not;

  • Promptly notifying RomoDoc™ in writing at support@romodoc.com of any unauthorized use of your Account or any other breach of security; and

  • Ensuring that your use of the Site and Services complies fully with this Agreement and all applicable laws.

 

RomoDoc™ may suspend, terminate, or restrict your Account at its sole discretion, with or without cause, and without liability, upon reasonable belief of a violation of this Agreement or applicable law.

 

2.3 Prohibited Activities

 

You expressly agree not to engage in any of the following activities in connection with your use of the Site or Services:

  • Using the Site or Services for any illegal, fraudulent, or unauthorized purpose;

  • Impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity;

  • Interfering with, disrupting, or attempting to disrupt the operation of the Site or Services, including through the introduction of viruses, malware, or other malicious code;

  • Uploading, transmitting, or distributing any content that is unlawful, defamatory, obscene, harassing, or infringing upon the rights of any third party;

  • Attempting to gain unauthorized access to any portion of the Site, Services, or related systems or networks;

RomoDoc™ provides an online platform that enables Users to connect with Providers for the purpose of receiving medical consultations, assessments, diagnoses, and treatments via telecommunication technologies. RomoDoc™ does not itself provide medical advice, diagnoses, or treatments; all clinical services are performed exclusively by Providers, who operate as independent contractors and are solely responsible for the medical care they deliver. RomoDoc’s™ role is limited to facilitating these interactions and providing the technological infrastructure.

 

3.2 No Emergency Services

 

The Services are not designed or intended to address medical emergencies. In the event of a medical emergency, you must immediately contact 911 or seek in-person care from a qualified healthcare provider. RomoDoc™ disclaims all liability for any damages, injuries, or losses resulting from your failure to seek appropriate emergency care or reliance on the Services in an emergency situation.

 

3.3 Limitations of Telehealth

 

You acknowledge and accept that telehealth services may have inherent limitations compared to traditional in-person medical care, including but not limited to:

  • The inability of Providers to conduct physical examinations or certain diagnostic tests;

  • The potential for technical failures, interruptions, or errors in data transmission; and

  • Legal or regulatory restrictions on prescribing certain medications (e.g., controlled substances) without an in-person evaluation, pursuant to the Ryan Haight Online Pharmacy Consumer Protection Act of 2008 and applicable state laws.

 

By using the Services, you assume all risks associated with these limitations and agree to provide complete, accurate, and current health information to Providers to ensure the quality and safety of care.

 

4. Intellectual Property Rights

 

4.1 Ownership

 

All Content on the Site and within the Services, including but not limited to text, graphics, logos, icons, software, and trademarks, is the exclusive property of RomoDoc™ or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. Subject to your compliance with this Agreement, RomoDoc™ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for personal, non-commercial purposes only. This license does not permit you to reproduce, distribute, modify, or create derivative works of the Content without RomoDoc’s™ prior written consent.

 

4.2 User Content

  • Third-Party Sources: Information received from Providers, payment processors, or other authorized third parties involved in the delivery of the Services.

 

5.2 Use of Data

 

RomoDoc™ uses your Personal Data and other collected information for the following purposes:

  • To provide, maintain, and improve the Site and Services, including facilitating User-Provider interactions;

  • To process payments, fulfill orders, and manage your Account;

  • To comply with legal and regulatory obligations, including HIPAA and state telehealth laws;

  • To communicate with you regarding your Account, Services, or promotional offers (subject to opt-out rights); and

Notwithstanding these efforts, no method of transmission over the internet or electronic storage is entirely secure, and RomoDoc™ cannot guarantee absolute security. You acknowledge and accept the inherent risks of providing information online.

 

5.5 User Rights

 

Subject to applicable law, you have the following rights with respect to your Personal Data:

  • Access: To request a copy of the Personal Data we hold about you;

  • Correction: To request correction of inaccurate or incomplete Personal Data;

6. Compliance with Laws

 

6.1 General Compliance

 

RomoDoc™ is committed to complying with all applicable federal, state, and local laws and regulations, including but not limited to:

  • HIPAA and its implementing regulations;

  • The Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227;

  • The CAN-SPAM Act, 15 U.S.C. §§ 7701–7713; and

  • State telehealth and data protection laws (e.g., Florida Telehealth Law, Fla. Stat. § 456.47).

 

6.2 HIPAA Compliance

 

While RomoDoc™ is not a covered entity under HIPAA, it may act as a business associate to Providers in facilitating the transmission and storage of PHI. In such capacity, RomoDoc™ complies with all applicable HIPAA requirements, including the execution of Business Associate Agreements (BAAs) with Providers and the implementation of safeguards pursuant to 45 C.F.R. Part 164, Subparts C and E.

 

7. Dispute Resolution

 

7.1 Mandatory Arbitration

 

Any dispute, controversy, or claim arising out of or relating to this Agreement, the Site, or the Services, including the breach, termination, interpretation, or validity thereof, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. Arbitration shall be conducted in Tampa, Florida, before a single arbitrator, unless otherwise required by applicable law. The arbitrator’s award shall be final and binding, and judgment thereon may be entered in any court of competent jurisdiction.

 

7.2 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted on an individual basis only and not as a class, collective, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against RomoDoc™.

 

7.3 Opt-Out Provision

You may opt out of this arbitration provision by sending written notice to RomoDoc™ at support@romodoc.com within thirty (30) days of your initial acceptance of this Agreement. Your notice must include your full name, email address, and the subject line “Arbitration Opt-Out.” Opting out of arbitration does not affect your agreement to the remainder of this Agreement.

 

7.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the unauthorized use or disclosure of confidential information or intellectual property, without submitting such matters to arbitration.

 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROMODOC™, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ROMODOC’S™ AGGREGATE LIABILITY EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO ROMODOC™ FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).

 

9. Indemnification

You agree to indemnify, defend, and hold harmless RomoDoc™, its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the Site or Services; (ii) your breach of this Agreement; (iii) your violation of any applicable law or regulation; or (iv) your infringement of any third-party rights, including intellectual property, privacy, or publicity rights. RomoDoc reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you shall cooperate fully with RomoDoc in asserting any available defenses.

 

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. For any disputes not subject to arbitration under Section 7, you irrevocably submit to the exclusive jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida, and waive any objection based on inconvenient forum or improper venue.

 

11. Miscellaneous

 

11.1 Entire Agreement

 

This Agreement, together with any documents or policies incorporated herein by reference (e.g., the Notice of Privacy Practices), constitutes the entire agreement between you and RomoDoc™ with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, or representations, whether written or oral.

 

11.2 Amendments

 

RomoDoc™ reserves the right to modify this Agreement at any time by posting an updated version on the Site. Such modifications shall be effective immediately upon posting, and your continued use of the Site or Services thereafter constitutes your acceptance of the revised terms. It is your responsibility to review this Agreement periodically for changes.

 

11.3 Severability

 

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

 

11.4 Waiver

 

No failure or delay by RomoDoc in exercising any right, power, or remedy under this Agreement shall constitute a waiver of such right, power, or remedy, nor shall any single or partial exercise thereof preclude any further exercise of such right, power, or remedy.

 

11.5 Assignment

 

You may not assign or transfer this Agreement or any rights or obligations hereunder without RomoDoc’s prior written consent. RomoDoc may assign this Agreement, in whole or in part, to any affiliate or successor without your consent.
